Corporate M&A Associate (3+ Years)

Meister Seelig & Schuster PLLC is seeking a Corporate M&A Associate with 3+ years of experience to support a busy transactional practice advising clients on mergers and acquisitions, other strategic transactions and investments, and general corporate matters. This role is based in our New York City office and is in-office.

Key Responsibilities
• Support and run deal processes for M&A transactions, including stock and asset purchases, mergers and joint ventures
• Support strategic investments and similar transactions, including venture capital and private equity transactions
• Draft and negotiate transaction documents, including letters of intent, purchase agreements, disclosure schedules, and ancillary agreements (e.g., escrow, employment, consulting, transition services)
• Manage legal due diligence, including coordinating requests, reviewing diligence materials and findings, and preparing diligence summaries and issues lists
• Coordinate closings, including preparing closing checklists, signature packets, and deliverables; manage closing logistics
• Collaborate with specialists (tax, employment, IP, real estate) and advise on issue spotting and escalation
• Review, prepare and advise on general commercial agreements and issues
• Support ongoing corporate work as needed (entity formation, governance documents, commercial agreements)

Qualifications
• 3+ years of corporate M&A experience at a law firm
• Strong drafting and practical skills with demonstrated comfort managing core deal documents
• Experience running diligence workstreams and coordinating both internally and with clients and comfortable working directly with clients
• Ability to manage multiple projects and competing deadlines with strong attention to detail and communication
• Excellent written and verbal communication skills and strong client service orientation
• J.D. from an accredited law school
• Admitted to practice in New York and in good standing

Salary Range: $165,000 – $190,000
