Agatha Rysinski is Partner in the firm’s Corporate group, where she specializes in corporate law, mergers and acquisitions (M&A), and securities transactions, counseling clients across various industries, including technology, media, healthcare, hospitality, manufacturing, retail and consumer products.
In her M&A practice, Ms. Rysinski has advised clients on the full spectrum of corporate transactions, including asset and securities purchases, mergers, joint ventures, and complex reorganizations. Her experience spans high-stakes deals, from the negotiation and structuring phases through to due diligence, drafting transaction documents, and post-transaction integration.
As a skilled practitioner in securities law, Ms. Rysinski provides counsel on compliance with federal and state securities regulations, including advising public companies on their disclosure obligations, securities offerings, and shareholder communications. She is well-versed in the intricacies of SEC filings, including annual, quarterly and current reports, and assists clients with public offerings, private placements, and securities compliance matters.
In addition to her M&A and securities practice, Ms. Rysinski provides general corporate advice to privately held companies, including professional entities, and is dedicated to helping clients, from emerging businesses to long-standing organizations, achieve their business objectives by providing practical guidance and support throughout various stages of corporate growth and development. This includes assisting with structuring and establishing businesses in a way that aligns with clients’ goals while ensuring compliance with applicable laws and regulations.
Ms. Rysinski began her career at MSF as a first-year associate and has been with the firm ever since, steadily advancing to Partner. Over the years, she has gained valuable experience working on a wide range of transactions, from large-scale M&A deals to complex securities matters. Her deep understanding of corporate law and transactional practices has made her a trusted and integral part of the firm’s team.
While pursuing her law degree, Ms. Rysinski served as an intern to the Honorable Denise L. Cote of the United States District Court for the Southern District of New York. Ms. Rysinski earned her J.D. from Pace Law School, where they served as Case Note and Comment Editor on the Pace Law Review and graduated with honors.
